Prior notification of a concentration

(Case COMP/M.5675 — Syngenta/Monsanto's Sunflower Seed Business)

1.

On 28 April 2010, the Commission received a notification of a proposed concentration, following a referral pursuant to Article 22 of Council Regulation (EC) No 139/2004 (1), by which the undertaking Syngenta Crop Protection AG (‘Syngenta CP’, Switzerland) belonging to the group Syngenta AG (Switzerland) acquires within the meaning of Article 3(1)(b) of the Merger Regulation control of part of Monsanto Company's (‘Monsanto’, USA) assets pertaining to Monsanto's global hybrid sunflower seed business (‘Monsanto's sunflower seed business’) by way of purchase of assets.

The business activities of the undertakings concerned are:

Syngenta CP is active in the agribusiness. It develops, produces and sells agrochemicals, in particular crop protection products and seeds, among other sunflower seeds and sunflower seed treatments,

Monsanto's sunflower seed business consists of assets pertaining to Monsanto's global hybrid sunflower business.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope the EC Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
